1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Real Estate SaaS ("Company", "we", "our", or "us") governing your access to and use of our web application and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Real Estate SaaS provides a cloud-based platform for real estate professionals to perform property feasibility analysis, valuations, building optimization, cost modeling, and report generation. The Service includes but is not limited to:

Property valuation tools with zoning-aware density and coverage checks.
Building optimization and feasibility analysis with configurable parameters.
Cost and revenue scenario modeling for real estate development projects.
PDF report generation and export capabilities.
Dashboard and data visualization features.

3. Account Registration & Security

To access certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information to keep it accurate and complete.
Keep your password confidential and not share your account credentials with any third party.
Notify us immediately of any unauthorized use of your account or any other security breach.
Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, false, or incomplete, or if you violate these Terms.

4. Subscription Plans & Payments

4.1 Plans & Pricing

The Service is offered through various subscription plans, each with different features, usage limits, and pricing. Current plan details and pricing are available on our pricing page. We reserve the right to change pricing at any time, with reasonable advance notice to existing subscribers.

4.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your chosen plan). Payment is processed through our third-party payment provider. You authorize us to charge your payment method for all fees associated with your subscription.

4.3 Refunds

Payments are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to the Service until the end of your current billing period. No partial refunds will be issued for unused portions of a billing cycle.

4.4 Free Trials

We may offer free trial periods at our discretion. At the end of a trial, your account may be downgraded or you may be prompted to subscribe to a paid plan to continue using premium features.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Use the Service in any way that violates any applicable local, national, or international law or regulation.
Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service.
Use any automated means (bots, scrapers, crawlers) to access or collect data from the Service without our prior written consent.
Transmit any viruses, malware, or other harmful code through the Service.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
Use the Service to harass, abuse, threaten, or intimidate any other user or third party.
Resell, sublicense, or redistribute access to the Service without our express written permission.
Misrepresent your identity or affiliation with any person or entity.

6. Intellectual Property

6.1 Our Property

The Service, including its original content, features, functionality, design, algorithms, and underlying technology, is and remains the exclusive property of Real Estate SaaS and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except as expressly stated.

6.2 Your Content

You retain ownership of all data, content, and materials you upload or input into the Service ("User Content"), including parcel details, project parameters, and valuation data. By using the Service, you grant us a limited, non-exclusive license to use, process, and store your User Content solely for the purpose of providing and improving the Service.

6.3 Feedback

If you provide us with suggestions, ideas, or feedback regarding the Service, you agree that we may use such feedback without any obligation to compensate you and without any restriction on how we use it.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described in the Privacy Policy.

You are solely responsible for the accuracy and legality of the data you input into the Service. We are not responsible for verifying the accuracy of any property data, valuations, or other information you provide.

8. Disclaimers & Limitation of Liability

8.1 No Professional Advice

The Service provides tools for feasibility analysis and property valuation modeling. The results generated by the Service are estimates and projections only and do not constitute professional financial, legal, architectural, or real estate advice. You should always consult qualified professionals before making investment or development decisions based on information from the Service.

8.2 "As Is" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REAL ESTATE SAAS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of (or inability to use) the Service.
Any conduct or content of any third party on the Service.
Any valuation results, projections, or estimates generated by the Service.
Unauthorized access, use, or alteration of your data.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Real Estate SaaS, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service.
Your violation of these Terms.
Your violation of any rights of a third party, including intellectual property rights.
Any content or data you submit, post, or transmit through the Service.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

You may terminate your account at any time by contacting us or using the account settings in the Service. Upon termination:

Your right to access and use the Service will cease immediately.
We may delete your account data after a reasonable retention period, subject to our Privacy Policy.
Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall remain in effect.

11. Service Availability & Modifications

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Real Estate SaaS is established, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to the competent courts of the jurisdiction in which Real Estate SaaS is established.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Real Estate SaaS regarding the use of the Service and supersede all prior agreements, communications, and understandings, whether written or oral.
